BY ACCESSING, VIEWING, AND/OR USING ANY OF THE FOREGOING, YOU ARE AGREEING TO BE BOUND BY THESE GUIDELINES. IF YOU DO NOT AGREE TO THESE GUIDELINES, YOU ARE NOT AUTHORIZED TO ACCESS OR USE ANY OF OUR SOCIAL MEDIA SITES AND YOU MUST EXIT THE SAME.
Your use of Mesquite Energy’s Social Media Sites shall be subject to the following terms and conditions:
- By entering and/or using our Social Media Sites, you, the user, are deemed to have agreed to comply with and be bound to these Guidelines. Mesquite Energy reserves the right to modify these Guidelines at any time, and without actual notice to you. We will post the revised Guidelines and the changes will be effective upon such posting. Your continued use of our Social Media Sites following any modification constitutes your agreement to these changes. You should check the Guidelines periodically for changes. In addition, by using any of our Social Media Sites, you are also agreeing to be bound by our Terms and Conditions as well as the Privacy Policy.
- The information contained in our Social Media Sites is provided as-is. This information is for U.S. residents and is not an offer to sell or a solicitation of an offer to buy any product or security to any person in any jurisdiction in which an offer, or solicitation, purchase or sale would be unlawful under the securities or other laws of that jurisdiction. In particular, you should not (i) submit any confidential or proprietary information to Mesquite Energy via social media or (ii) post or send requests for specific investment advice or investment recommendations through social media. We also reserve the right to edit or remove any post for any reason and to block followers to the extent permitted by the sites. If we do not remove a third-party post, it is not an endorsement of the content.
- The Social Media Sites may allow you to upload, submit, or transmit postings, messages, text, files, images, graphics, photos, audio clips, sounds, video, or other materials, including such materials that may contain personally-identifiable information (collectively, the “Content”).
a) By uploading, submitting, or submitting such Content to or through the Social Media Sites at any time, you agree that you shall be at all times solely responsible for all Content that you post, email, or otherwise make available through the Social Mediate Sites, including all information provided to us.
b) By uploading or otherwise posting any Content on our Social Media Sites, you expressly represent, warrant, and covenant that: (i) you own or otherwise have all necessary rights or permission, including but not limited to copyrights, to the Content you provide and the rights to use it as provided in these Guidelines; and (ii) all information you provide is true, accurate, current, and complete, and does not violate these Guidelines.
c) You agree not to upload, transmit, distribute, or otherwise publish in or on the Social Media Sites, any Content that is illegal or otherwise harmful, including, without limitation, Content that: (i) is libelous, defamatory, obscene, pornographic, abusive, threatening; (ii) represents a personal attack against or an invasion of the privacy of any individual; (iii) infringes the intellectual property rights, including, but not limited to, copyrights and trademarks, of any person or entity; and/or (iv) advertises any goods or services or solicits any funds.
d) You further agree not to impersonate or pass yourself off as someone else. We can take any action or no action with respect to any submission of Content, in our sole discretion. We may, at any time, refuse or remove any Content without notice to you. However, we shall have no obligation to monitor Content, and you agree that neither Mesquite Energy nor its members, parents, subsidiaries, affiliates, employees, or agents will be liable for any loss or damage arising out of or relating to any Content or the uploading or submission of such Content to the Social Media Sites.
e) By uploading or providing any Content, you grant to Mesquite Energy and its members, parents, subsidiaries, affiliates, and partners a non-exclusive, worldwide, royalty-free, fully sublicenseable license to use, distribute, edit, display, archive, publish, sublicense, perform, reproduce, make available, transmit, broadcast, sell, translate, and create derivative works of all Content, including your name, voice, and likeness in any form, media, software, or technology of any kind now known or developed in the future, including, without limitation, for developing, manufacturing, and marketing products. You hereby waive any moral rights you may have in your Content. The foregoing shall not, however, include any personally-identifiable or financial information.
